CONFIDENTIALITY & INVESTOR REGISTRATION AGREEMENT
Top Hat Commercial Real Estate (“Broker”) has been engaged as the sole consultant and broker for the sale of Lockhart Management Groups properties across Florida.
Please read, sign, and submit this completed Confidentiality Agreement to Broker to obtain necessary portfolio materials (“Documents”). The materials have been produced by Broker for a limited number of parties and do not pretend to offer a precise overview of the property or any of the associated documents, nor do they purport to be all-inclusive or to contain all of the information that potential Buyers may need or desire. Any estimates or forecast produced by the Broker and specified sources are subject to change since they are based on assumptions about the general economy, competition, and other variables beyond the Sellers’ control. Broker and Sellers make no representations as to the accuracy or completeness of the information included herein, and nothing herein should be construed as a guarantee or warranty as to the property’s future performance. Despite the fact that the information provided herein is considered to be accurate, the Sellers and their employees disclaim all responsibility for errors and urge potential buyers to do their own due diligence in confirming all such material. Furthermore, Broker, Sellers, and their employees disclaim any and all responsibility for explicit or implied statements and guarantees included in or omitted from the Documents or any other written or oral communication communicated or made accessible to the Buyer. The Documents do not imply that the property or the Owner’s business or affairs have not changed since the Documents were prepared. The prospective Buyer is entirely responsible for analyzing and verifying the information included in the Documents. Interested and eligible potential Buyers will be provided with further information and an opportunity to view the property upon written request.
By accepting the Documents, you agree to indemnify, defend, and hold Sellers and Broker, as well as any affiliate of Sellers or Broker, harmless from and against any and all claims, damages, demands, liabilities, losses, costs, or expenses (including reasonable attorney’s fees, collectively “Claims”) arising, directly or indirectly, from Buyer, its employees, officers, directors, or agents.
You confirm that you are a principal and not an agent of or acting on behalf of any other party in connection with the purchase by accepting the Documents. Because Top Hat Commercial Real Estate is not cooperating on fees, Buyer understands that any Agent/Broker other than Top Hat Commercial Real Estate must be paid by Buyer. Furthermore, Buyer acknowledges that it has had no discussions about the sale of this property with any other broker or agent other than Broker or an agent/broker properly identified through this registration process, including, but not limited to, the resolution of incomplete, conflicting, or duplicate registrations. Buyer shall indemnify and hold Sellers and Broker harmless from and against any claims, causes of action, or liabilities, including, without limitation, reasonable attorney’s fees and court costs, incurred with respect to any claims for other real estate commissions, broker’s fees, or finder’s fees in relation to or in connection with the Property to the extent claimed, through or under this Agreement.
The Sellers and Broker explicitly retain the right, in their sole discretion, to reject any or all expressions of interest or offers in connection with the Property, as well as to discontinue negotiations with any entity at any time, with or without notice. Unless a written agreement for the purchase of the Property has been fully executed, delivered, and approved by the Sellers and its legal counsel, and any conditions to the Sellers’ obligation thereunder have been satisfied or waived, the Sellers shall have no legal commitment or obligations to any entity reviewing the Documents or making an offer to purchase the Property.
Except for material that is a part of public record or is given in publicly accessible sources, the Documents and their contents are private. By accepting the Documents, you agree to hold and treat them in strict confidence, not to photocopy or duplicate them, not to disclose the Documents or any of their contents to any other entity without the Sellers’ or Broker’s prior written permission, and not to use the Documents or any of their contents in any way that is harmful to the interest of the Sellers or Broker.
Without the express permission of the listed agents, no employee of the sellers or at the subject properties may be contacted and doing so would be a breach of the confidentiality agreement.
